Guernica Inc., a not-for-profit corporation organized under the laws of the State of Delaware was incorporated on March 20, 2009. Guernica has filed for tax-exempt status as a charitable organization under the Internal Revenue Code and the IRS is processing the application. If Guernica is granted tax-exempt status, such status will be granted retroactively so that all contributions received by Guernica Inc. after March 20, 2009 will be deductible to the extent permitted by applicable tax law.
